Welcome to PMHelp. These Terms and Conditions (“Terms”) govern your use of the PMHelp website, platform, and associated AI receptionist services (the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.
1. The Services
PMHelp provides an AI-powered inbox and calendar management tool designed for Australian property managers. The Services connect to your designated email account and calendar to read, categorize, summarize, and draft responses to incoming communications, as well as assist with scheduling (the “Outputs”).
2. Account Registration and Security
- Eligibility: You must be a licensed real estate agent, property manager, or authorized employee of a real estate agency in Australia to use the Services.
- Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
3. Email and Calendar Integration Authorizations
To provide the Services, PMHelp requires read and write access to your email inbox and calendar. By connecting your accounts (via Aurinko, Google OAuth, or Microsoft OAuth), you represent and warrant that:
- You have the legal right and authority to grant us access to the connected inbox and calendar.
- You have obtained all necessary consents from your clients, tenants, and business partners (as required by your agency’s privacy policies and the Privacy Act 1988) to allow a third-party AI service (including Google Gemini) to process their communications.
- You will not use PMHelp to process emails containing highly sensitive personal information (such as health records or credit card numbers) where such processing violates your agency's policies or applicable laws.
4. Artificial Intelligence and “Human-in-the-Loop”
Our Services utilize advanced artificial intelligence (specifically Google Gemini models) to draft emails and suggest next steps. However, AI is not infallible and can produce incorrect, incomplete, or inappropriate Outputs.
- Your Responsibility: PMHelp is designed as a “co-pilot,” not an autopilot. You are strictly responsible for reviewing, editing, and approving every AI-generated Output before it is sent or scheduled.
- No Reliance: PMHelp does not provide legal, financial, or professional real estate advice. You must not rely solely on the AI to interpret complex tenancy laws or contractual obligations.
5. Intellectual Property
- Our Rights: We retain all rights, title, and interest in and to the PMHelp platform, its underlying algorithms, software, and brand assets.
- Your Data: You retain all ownership of the raw data contained in your emails. You grant us a limited, non-exclusive license to process this data solely for the purpose of providing the Services to you. Data processed by PMHelp is retained and deleted in accordance with the retention periods set out in our Privacy Policy.
6. Subscription, Fees, and Payment Processing
- Fees: Access to the Services is subject to payment of subscription fees as detailed on our website.
- Payment Processor: We use Stripe to process all subscription payments. By providing your payment information, you agree to Stripe’s terms of service. PMHelp does not store your raw credit card information.
- Termination by You: You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing cycle.
- Termination by Us: We reserve the right to suspend or terminate your account immediately if you breach these Terms, use the Services for unlawful purposes, or cause harm to our infrastructure. Upon termination, we will revoke our access to your inbox.
7. Limitation of Liability
To the maximum extent permitted by Australian law (including the Australian Consumer Law):
- No Warranties: The Services are provided “as is” and “as available,” without warranties of any kind, express or implied.
- Exclusion of Damages: PMHelp (and its directors, employees, and affiliates) will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of your use of the Services.
- AI Errors: PMHelp accepts no liability for any financial loss, legal dispute, or reputational damage resulting from emails sent by you based on an AI-generated draft that you approved.
- Liability Cap: In no event shall our total aggregate liability exceed the total amount paid by you to PMHelp in the three (3) months preceding the event giving rise to the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless PMHelp from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from:
- Your breach of these Terms.
- Your failure to review and verify AI-generated Outputs before dispatch.
- Any claim by a third party (e.g., a tenant or landlord) regarding the unauthorized processing of their personal data via your connected inbox.
9. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.
